Advertising and Sponsorship Terms
Effective date: October 14, 2026 Last updated: October 14, 2026
These terms apply when a business, brand, agency, or organization ("Advertiser," "you") buys a sponsorship, newsletter placement, display ad, promoted event, or any other advertising ("Ads") from Embarc Creative Co. LLC, an Arkansas limited liability company doing business as allthethings.gay ("we," "us"). They apply whether you buy through our self-serve tools or a signed insertion order ("IO"). Our Ad Content Policy and Terms of Use are part of these terms. If you're an agency, you confirm you're authorized to act for your client, and you and your client are jointly responsible under these terms.
If a signed IO conflicts with these terms, the IO wins for that campaign.
1. How Ads Work Here
- Contextual, not behavioral. Ads are shown based on the page, category, topic, city, or newsletter edition, not on who the viewer is or what they did elsewhere.
- No targeting by sexual orientation, gender identity, health, or other sensitive traits. The whole audience is a community; you can't single out any individual or segment within it by sensitive traits.
- Always labeled. Every Ad is marked "Sponsored," "Ad," "Presented by," or similar. We decide label wording and placement.
- Ads never buy editorial decisions. Ads don't affect listings, rankings in unlabeled results, badges, reviews, or our guides and articles. Sponsored content is clearly separated from editorial content.
- Sensitive pages. Ads on health, therapy, crisis, and support pages are limited to no ads, and no Ad may appear inside crisis resource listings.
2. Buying Ads
Self-serve. You choose placement, dates, budget, and creative, and pay by card through Stripe when you book. A booking is an offer that we accept when the Ad is approved.
Invoiced. For IOs, we'll invoice you on booking. Invoices are due net 30 days. Late amounts may accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower, and we may pause campaigns while an invoice is overdue.
Prices exclude taxes. You pay any applicable taxes other than taxes on our income.
3. Review and Approval
All Ads must follow the Ad Content Policy. We review every Ad before it runs and may reject, pause, or remove any Ad, at any time, at our discretion, including after approval. If we reject an Ad before it runs, we'll refund what you paid for it or let you replace it. If we remove a running Ad because it breaks our policies or the law, we won't refund the remainder; otherwise we'll refund the unused portion.
4. Your Responsibilities
You represent and promise that:
- You own or have permission to use everything in your Ads (text, images, logos, music, people's likenesses) and your landing pages.
- Your Ads and landing pages are truthful, substantiated, not misleading, and comply with all laws, including FTC rules, FDA rules for drugs and devices, state consumer protection laws, and industry rules that apply to you.
- Your landing pages work, match the Ad, and have a privacy policy that tells people what you collect.
- You will not use any Ad, link, or landing page to collect sensitive information about our visitors beyond what's needed for the person's own request, or to identify visitors as LGBTQIA+.
5. Tracking and Measurement
What we report. Impressions, clicks, and, where available, aggregate conversions you share with us. Reports never identify individual people.
What you may not do. You may not place pixels, tags, scripts, cookies, SDKs, fingerprinting, or other tracking technology on our pages or in our newsletters, or use our Ads to build audience lists or retarget people based on having seen or clicked an Ad on allthethings.gay. Standard UTM parameters on your links are allowed.
Our numbers are the official numbers for billing. If your numbers differ by more than 10%, tell us within 30 days and we'll review in good faith.
6. Delivery and Make-Goods
We'll make reasonable efforts to run your Ads as booked. If we under-deliver a guaranteed placement or quantity because of our error, our only obligation is to run a comparable make-good placement or, if you prefer, refund the undelivered portion. We don't guarantee clicks, leads, sales, or any particular result.
7. Cancellations
Self-serve campaigns: You may cancel anytime before a campaign starts for a full refund. After it starts, you may stop it and we'll refund the undelivered portion, minus any amount already committed to a fixed newsletter edition.
IO campaigns and sponsorships: You may cancel with 30 days' written notice. You owe for everything delivered through the end of the notice period. Newsletter placements canceled fewer than 14 days before the send date, and exclusive "Presented by" sponsorships canceled before the end of their minimum term 3 months, are non-cancelable unless the IO says otherwise.
Recurring sponsorships billed automatically follow the automatic renewal, cancellation, and reminder terms in Section 6 and 7 of our Business Terms.
8. Licenses
You give us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt for format (for example, resize or crop), and display your Ads, names, and logos to deliver the campaign and to show it in our media kit and sponsor lists, unless you tell us not to. We give you a limited license to say you sponsor allthethings.gay and to use our logo according to our Brand Guidelines during the campaign. Neither of us may imply the other endorses its products beyond the sponsorship itself.
9. Confidentiality
Non-public pricing, IO terms, and campaign reports are confidential. Each of us will use the other's confidential information only for the campaign and protect it with reasonable care.
10. Indemnity
You'll defend and cover us against third-party claims, regulatory actions, fines, and reasonable costs arising from your Ads, landing pages, products or services, or your breach of these terms or the law.
11. Disclaimers and Limits on Liability
Except for your payment and indemnity obligations, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. Our total liability for any campaign is limited to the amount you paid us for that campaign.
12. General
Arkansas law governs. Any dispute will be decided in the state or federal courts in Pulaski County, Arkansas. These terms, the Ad Content Policy, and any IO are the entire agreement for your Ads. We may update these terms with 30 days' notice; changes don't affect campaigns already booked.
